Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the OfferScope website and services (the "Service") operated by XXX LDA ("we", "us", or "our"), a company registered in Portugal.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

OfferScope provides automated analysis of employment contracts and job offer letters. The Service:

• Identifies potential risk areas in employment contracts
• Provides plain-language explanations of contract terms
• Suggests questions to ask employers
• Considers remote work and location implications

3. NOT LEGAL ADVICE

The analysis provided by OfferScope:

• Is not a substitute for advice from a qualified attorney
• Does not create an attorney-client relationship
• Should not be relied upon to determine the enforceability of any provision
• May not identify all issues in a contract
• Is generated by AI and may contain errors or omissions

For legal advice, consult a licensed attorney in the relevant jurisdiction.

4. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

5. User Responsibilities

You agree to:

• Only upload contracts you have the right to analyze (e.g., contracts offered to you, not third-party contracts without authorization)
• Provide accurate information about your work context
• Not use the Service for any unlawful purpose
• Not attempt to reverse-engineer, hack, or abuse the Service
• Not upload malicious files or content
• Not resell or redistribute the Service without authorization

6. Payments and Pricing

6.1 One-Time Contract Review ($10 USD)

Payment is required to access the full analysis report. Reports are delivered immediately after payment.

6.2 Subscription ($3 USD/month)

Subscriptions include a 60-day free trial. You will be charged $3 after the trial period ends. You may cancel at any time before the trial ends to avoid charges. Subscriptions renew automatically each month until cancelled.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

For one-time purchases, due to the nature of digital goods delivered immediately, refunds are generally not provided unless the Service fails to deliver a report. If you experience technical issues, contact us at hi@offerscope.net.

EU consumers: You have a 14-day right of withdrawal for subscriptions, unless you have already used the Service during that period.

7. Intellectual Property

You retain ownership of the contracts you upload. We retain ownership of the Service, including our analysis methods, risk definitions, software, and branding.

You grant us a limited, non-exclusive license to process your contract text solely for the purpose of providing the analysis service to you. This license terminates when your contract data is deleted.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with GDPR.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "AS IS" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the analysis will be complete, accurate, or suitable for your specific situation.
• We are not liable for any decisions you make based on the analysis.
• Our total liability for any claims arising from or related to the Service is limited to the amount you paid for the Service in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless XXX LDA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the Service for violation of these Terms or for any other reason at our reasonable discretion, with or without notice.

You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service ceases immediately, except that you may continue to access any reports you have already paid for.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to registered users via email at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Portugal, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.

EU consumers: You may also be entitled to use the EU Online Dispute Resolution platform.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and XXX LDA regarding the Service and supersede any prior agreements.
